This website, wincdkey.com (the “Website“), is operated by Wincdkey Ltd, a company registered in England and Wales (Company No. 15530488), with its registered office at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

Throughout these Terms & Conditions, the terms “we“, “us“, and “our” refer to Wincdkey Ltd. The terms “you” and “your” refer to the individual or entity accessing or using our Website and purchasing products from us.

Please read these Terms & Conditions carefully before placing an order. By accessing or using any part of the Website, or by completing a purchase, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions, together with our Privacy Policy, Shipping Policy, and Refunds & Returns Policy, all of which are incorporated by reference.

If you do not agree to these Terms & Conditions, you must not use the Website or purchase any products from us.

1. About Our Products

All products are delivered digitally by email. We do not sell or ship any physical goods. For full details on how delivery works, please read our Shipping Policy.

2. Eligibility

By using this Website and placing an order, you confirm that:

  • You are at least 18 years of age, or you are the age of majority in your jurisdiction;
  • You have the legal authority to enter into a binding contract;
  • You are not located in a country or territory subject to UK government sanctions or trade restrictions that would prohibit you from purchasing our products;
  • You will use the software licence keys only in accordance with the end-user licence agreement (EULA) of the relevant software publisher (e.g. Microsoft, McAfee, Kaspersky).

3. Orders and Contract Formation

When you place an order on the Website, you are making an offer to purchase a product subject to these Terms & Conditions. A binding contract between you and Wincdkey Ltd is formed only when we send you a confirmation email containing your order details and licence key, or when we otherwise confirm acceptance of your order.

We reserve the right to refuse, cancel, or limit any order at our sole discretion, including in the following circumstances:

  • The product is out of stock or no longer available;
  • The order is flagged by our fraud prevention systems;
  • Incorrect pricing or product information was displayed due to a technical error;
  • We have reason to believe the order is being placed for unauthorised resale or commercial redistribution without prior agreement.

If we cancel your order after payment has been taken, we will issue a full refund to your original payment method.

4. Pricing and Payment

All prices displayed on the Website are inclusive of any applicable taxes unless otherwise stated. Prices are shown in your selected currency (GBP, EUR, or USD) and are subject to change without notice.

We make every effort to ensure pricing accuracy. In the event of a pricing error, we reserve the right to cancel the order and notify you before fulfilment. You will not be charged an incorrect price without your agreement.

Payment must be made in full at the time of purchase. We accept the payment methods displayed at checkout. Credit and debit card data is encrypted and processed securely — Wincdkey does not store full payment card details.

5. Digital Goods and Licence Key Usage

All products sold on the Website are digital goods in the form of software licence keys. By completing a purchase and receiving your licence key, you acknowledge and agree that:

  • The licence key is provided for personal or business use only on the number of devices specified in the product listing;
  • You may not resell, redistribute, share, sublicense, or transfer the licence key to any third party without our express written permission and compliance with the relevant software publisher’s EULA;
  • Each licence key is issued once. Once delivered and activated, it cannot be reissued unless it is confirmed defective prior to activation;
  • The software itself is owned by its respective publisher (e.g. Microsoft Corporation). Wincdkey sells the right to use the software under that publisher’s licence terms — we do not own or modify the software;
  • You are responsible for ensuring the product you purchase is compatible with your device, operating system, and region before completing your order. Please refer to the product listing and our FAQs for compatibility information.

6. Digital Delivery

Your licence key will be delivered to the email address you provide at checkout, typically within seconds of payment confirmation. You acknowledge that:

  • Delivery is complete once the licence key is sent to your provided email address or made available in your My Account page;
  • It is your responsibility to provide a correct and accessible email address at the time of purchase;
  • You should check your spam or junk folder if the email does not appear in your inbox within 15 minutes;
  • You can retrieve your licence key at any time by logging into your account and viewing your order history.

For installation and activation assistance, please visit our Installation & Activation Guide. If you require help with phone-based activation, our free Phone Activation (CID) Tool is available on the Website.

7. Your Consumer Rights (UK and EU Customers)

We sell digital products to consumers in the United Kingdom and the European Union. The following provisions apply to protect your statutory rights:

7.1 Right to Cancel (Cooling-Off Period)

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK) and the EU Consumer Rights Directive, you ordinarily have a 14-day right to cancel a distance contract from the date of purchase.

However, by completing your order and requesting immediate delivery of a digital product, you expressly consent to the immediate performance of the contract and acknowledge that you lose your right to cancel once the digital content has been delivered (i.e. once the licence key has been sent to your email or made available in your account).

If you have not yet received your licence key or it has not been activated, you may contact us to request cancellation and a full refund.

7.2 Faulty or Non-Working Licence Keys

Under the Consumer Rights Act 2015 (UK), digital content must be of satisfactory quality, fit for purpose, and as described. If your licence key does not work as expected:

  • Contact our Help & Support Centre immediately and before attempting any alternative activation methods;
  • We will investigate and, where the key is confirmed defective, provide a replacement key or a full refund;
  • A key that fails to activate due to incompatibility with your system or because it has already been used is not considered defective under these terms.

For full details on refund eligibility and how to make a claim, please read our Refunds & Returns Policy.

8. Accuracy of Product Information

We make every effort to ensure that product descriptions, compatibility details, and pricing on the Website are accurate and up to date. However, we do not guarantee that all information is free from errors or omissions at all times.

We reserve the right to correct errors, update product descriptions, and amend pricing at any time without prior notice. If a material error affects an order you have already placed, we will contact you to advise of the correction before fulfilment.

Product images, where shown, are for illustrative purposes only. All software products are delivered digitally — there is no physical box, disc, or packaging.

9. Account Registration

You may create an account on the Website to manage your orders and access your purchased licence keys. You are responsible for:

  • Maintaining the confidentiality of your account login credentials;
  • All activity that occurs under your account;
  • Providing accurate and up-to-date account information, including your email address.

You must notify us immediately if you suspect unauthorised access to your account. We will not be liable for any loss arising from your failure to keep your account credentials secure.

We reserve the right to suspend or terminate accounts that we believe are being used fraudulently or in violation of these Terms & Conditions.

10. Prohibited Uses

You agree not to use the Website or any products purchased from it for any of the following purposes:

  • Any unlawful activity, or to facilitate unlawful acts by others;
  • Reselling or redistributing licence keys without our prior written authorisation;
  • Attempting to circumvent licence restrictions, product activation systems, or digital rights management mechanisms;
  • Uploading or transmitting viruses, malicious code, or any content that may harm the Website or its users;
  • Collecting personal data about other users without their consent;
  • Using automated tools (bots, scrapers, crawlers) to access or extract content from the Website;
  • Engaging in fraudulent chargebacks or payment disputes in bad faith;
  • Submitting false or misleading information in connection with an order or support request.

We reserve the right to suspend or terminate your access to the Website, cancel any pending orders, and report suspected fraudulent activity to the relevant authorities.

11. Intellectual Property

All content on the Website, including but not limited to text, images, logos, product descriptions, and page layouts, is the intellectual property of Wincdkey Ltd or its licensors. You may not reproduce, copy, republish, or distribute any content from this Website without our express written permission.

The software products sold on the Website remain the intellectual property of their respective publishers. Your purchase grants you a licence to use the software in accordance with the relevant publisher’s EULA — it does not transfer ownership of the software to you.

12. Third-Party Links and Tools

The Website may contain links to third-party websites, including our Trustpilot reviews page, our Microsoft Partner listing, and our Affiliate Portal. These links are provided for your convenience only.

We are not responsible for the content, policies, or practices of any third-party website. Accessing third-party websites is entirely at your own risk, and we encourage you to review their terms and privacy policies independently.

We may also provide access to optional third-party tools integrated into the Website. Such tools are provided “as is” and we accept no liability for any outcomes arising from their use.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Wincdkey Ltd, its directors, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, punitive, or consequential losses arising from:

  • Your use of, or inability to use, the Website or any products purchased from it;
  • Errors, inaccuracies, or omissions in product descriptions or pricing;
  • Unauthorised access to or alteration of your data;
  • Any interruption or cessation of service;
  • Issues arising from the software publisher’s own activation systems, updates, or licence enforcement policies.

Nothing in these Terms & Conditions limits or excludes our liability for:

  • Death or personal injury caused by our negligence;
  • Fraud or fraudulent misrepresentation;
  • Any statutory rights you have as a consumer that cannot be excluded under UK or EU law.

Where liability cannot be excluded, our total liability to you for any claim arising from these Terms & Conditions shall not exceed the amount you paid for the product in question.

14. Disclaimer of Warranties

The Website and its content are provided on an “as is” and “as available” basis. We make no warranty, express or implied, that the Website will be uninterrupted, error-free, or free from viruses or other harmful components. We are not responsible for technical issues arising from your hardware, operating system, internet connection, or browser.

We do not warrant that any software licence key will be compatible with future versions of the relevant software or operating system, as this is determined solely by the software publisher.

15. Indemnification

You agree to indemnify and hold harmless Wincdkey Ltd and its directors, employees, agents, and service providers from any claim, demand, loss, or expense (including reasonable legal fees) arising from your breach of these Terms & Conditions, your violation of any law or third-party rights, or your misuse of any product purchased from the Website.

16. Modifications to the Service and Pricing

We reserve the right to modify, suspend, or discontinue any part of the Website or product catalogue at any time without prior notice. Prices are subject to change at any time. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

17. Severability

If any provision of these Terms & Conditions is found to be unlawful, void, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms & Conditions, together with our Privacy Policy, Shipping Policy, and Refunds & Returns Policy, constitute the entire agreement between you and Wincdkey Ltd regarding your use of the Website and supersede all prior agreements, communications, or representations, whether written or oral.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

19. Governing Law and Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms & Conditions or your use of the Website shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer protection rights you may have under the laws of your country of residence.

If you are a consumer based in the European Union, you also have the right to access the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr for resolving disputes relating to online purchases.

20. Changes to These Terms

We reserve the right to update or replace these Terms & Conditions at any time by posting the revised version on this page. Changes take effect immediately upon posting. The “Last Updated” date at the top of this page will reflect when the most recent revision was made.

Your continued use of the Website after any changes are posted constitutes your acceptance of the updated Terms & Conditions. We encourage you to review this page periodically.
